Common use of Incumbency Certificate; Authorized Signers Clause in Contracts

Incumbency Certificate; Authorized Signers. The Administrative Agent shall have received from each of the Borrowers, Holdings and the Subsidiary Guarantors an incumbency certificate, dated as of the Restatement Date, signed by a duly authorized officer such Person and giving the name of each individual who shall be authorized: (a) to sign, in the name and on behalf of such Person, each of the Loan Documents to which such Person is or is to become a party; (b) in the case of the Borrower Representative, to make Completed Revolving Credit Loan Requests and Conversion Requests on behalf of the Borrowers; and (c) in the case of the Borrower Representative, to give notices and to take other action on behalf of the Borrowers and the Guarantors under the Loan Documents.

The Administrative Agent shall have received from each of the BorrowersBorrower, Holdings MCRC and the Subsidiary Guarantors an incumbency certificate, dated as of the Restatement Closing Date, signed by a duly authorized officer of such Person and giving the name of each individual who shall be authorized: (a) to sign, in the name and on behalf of such Person, each of the Loan Documents to which such Person is or is to become a partyparty as of the Closing Date; (b) in the case of the Borrower RepresentativeBorrower, to make Completed Revolving Credit the Loan Requests Request and Conversion Requests on behalf of the BorrowersBorrower; and (c) in the case of the Borrower RepresentativeBorrower, to give notices and to take other action on behalf of the Borrowers Borrower and the Guarantors under the Loan Documents.
