Common use of Incumbency Certificate of Borrower Clause in Contracts

Incumbency Certificate of Borrower. Each Bank and Agent shall have received a certificate of the Secretary or an Assistant Secretary of Borrower, dated the date hereof, as to the incumbency and signature of the officer(s) of Borrower executing this Agreement, the Notes and any certificate or other documents to be delivered pursuant hereto or thereto.
