Common use of Incumbency Certificate Clause in Contracts

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party an authorized officer or representative certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each or any other Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of Borrower or any such Person Obligated Party together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party certifying the names of the individuals or other Persons authorized on behalf of such Person to sign this Agreement and Agreement, each of the other Loan Documents to which Borrower and each other Obligated Party such Person is or is to be a party (including the certificates contemplated herein) on behalf of such Person ), and the Intercreditor Agreement to the extent party thereto, together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party an authorized officer or representative certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Loan Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Loan Party and of Holdings, certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Loan Party or Holdings is or is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party an authorized officer or representative certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which the Borrower and each other Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person the Borrower together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer an authorized officer or representative of each Obligated Party an Obligor certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Party any Obligor that is or not a natural Person is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer the Secretary or an Assistant Secretary of each Obligated Loan Party certifying the names of the individuals or other Persons its officers (A) who are authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Party it is or is to be a party (including including, without limitation, the certificates contemplated herein) on behalf of such Person together with specimen signatures of each such individual Personsofficer and (B) who will, until replaced by other officers duly authorized for that purpose, act as its representative for the purposes of signing documentation and giving notices and other communications in connection with this Agreement and the transactions contemplated hereby;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party an authorized officer or representative certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which the Borrower and each other Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person and each other Obligated Party, together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of Parent and each Obligated Loan Party that is not a natural Person certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Loan Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer the Secretary, an Assistant Secretary or other authorized Person of each Obligated Party certifying the names of the individuals or other Persons its representatives authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Party it is or is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Personsrepresentatives;

Incumbency Certificate. Incumbency Certificate. Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party Borrower certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person Borrower together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer an authorized officer or representative of each Obligated the applicable Loan Party certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Party Guarantor is or is to be a party (including the certificates contemplated herein) on behalf of Borrower and such Person Guarantor, as applicable, together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other such Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party an authorized officer or representative certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which each Borrower and each other Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person the Borrower together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer an authorized officer or representative of each Obligated Party Debtor certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Party is or Debtor is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible Officer of each Obligated Party certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each other Obligated Party its general partner is or is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a the Manager or Responsible Officer of each Obligated Party certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower Borrower, the Guarantors and each other Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of such Person together with specimen signatures of such individual Persons;

Incumbency Certificate. A certificate of incumbency certified by a Responsible an Authorized Officer of each Obligated Party or representative certifying the names of the individuals or other Persons authorized to sign this Agreement and each of the other Loan Documents to which Borrower and each or any other Obligated Party is or is to be a party (including the certificates contemplated herein) on behalf of Borrower or any such Person Obligated Party together with specimen signatures of such individual Persons;
