Common use of Incumbency Certificates of the Loan Parties Clause in Contracts

Incumbency Certificates of the Loan Parties. The Administrative Agent shall have received a certificate of each Loan Party, dated the Closing Date, as to the incumbency and signature of the officers of such Loan Party executing any Loan Document, reasonably satisfactory in form and substance to the Administrative Agent executed by a Responsible Officer and the Secretary or any Assistant Secretary of such Loan Party.

The Administrative Agent shall have received received, with a copy for each Lender, a certificate of each Loan Party, dated the Closing Effective Date, as to the incumbency and signature of the officers of such Loan Party Person executing any Loan Document, reasonably satisfactory in form and substance to the Administrative Agent Agent, executed by a Responsible Officer and the Secretary or any Assistant Secretary of such Loan PartyPerson.

The Administrative Agent shall have received a certificate of each Loan Party, dated the Closing Replacement Tranche B Effective Date, as to the incumbency and signature of the officers of such Loan Party executing any Loan Document, reasonably satisfactory in form and substance to the Administrative Agent Agent, executed by a Responsible Officer and the Secretary or any Assistant Secretary of such Loan Party.

Incumbency Certificates of the Loan Parties. The Administrative Agent shall have received a certificate of each Loan Partyof Holding, the Borrower and the Joining Guarantors, dated the Closing Agreement Date, as to the incumbency and signature of the officers or other individuals executing any Loan Documents on behalf of such Loan Party executing any Loan Document, reasonably satisfactory in form and substance to the Administrative Agent Agent, executed by a Responsible Officer and the Secretary or any Assistant Secretary (or other individual providing similar duties) of such Loan Party.

Incumbency Certificates of the Loan Parties. The Administrative Agent shall have received a certificate of each Loan Partyof Holdings, the Borrower and the Joining Guarantors, dated the Closing Amendment Effectiveness Date, as to the incumbency and signature of the officers or other individuals executing any Loan Documents on behalf of such Loan Party executing any Loan Document, reasonably satisfactory in form and substance to the Administrative Agent Agent, executed by a Responsible Officer and the Secretary or any Assistant Secretary (or other individual providing similar duties) of such Loan Party.

Incumbency Certificates of the Loan Parties. The Administrative Agent shall have received a customary certificate of each Loan Party, dated the Closing Date, as to the incumbency and signature of the officers of such Loan Party executing any Loan Document, reasonably satisfactory in form and substance to the Administrative Agent executed by a Responsible Officer an authorized officer and the Secretary or any Assistant Secretary of such Loan Party..
