Indebtedness Arrangements. (i) Buyer shall reached an agreement, in Buyer’s satisfaction and discretion, with Silicon Valley Bank regarding the assumption of the Assumed Indebtedness; and (ii) The Company shall be in compliance in all material respects with the terms of the Buyer Loan.
