Common use of Indebtedness; Bank Accounts Clause in Contracts

Indebtedness; Bank Accounts. (a) Create, incur, assume or suffer to exist any Indebtedness, except Indebtedness created or permitted under the Loan Documents including expenses payable in the ordinary course of business, obligations under its Organization Documents or pursuant to customary indemnification, expense reimbursement and similar provisions under the Collateral Asset Documents related to the Collateral Assets; or (b) open or establish any bank accounts except as contemplated by the Loan Documents.

The Borrower shall not, directly or indirectly, (a) Createcreate, incur, assume or suffer to exist any Indebtedness, except Indebtedness created or permitted under the Loan Documents including expenses payable in the ordinary course of businessDocuments, obligations under its Organization Documents or pursuant to customary indemnification, expense reimbursement and similar provisions under the Collateral Asset Documents related to the Collateral Assets; or (b) open or establish any bank accounts bank, securities or other account without the consent of the Administrative Agent except as contemplated by the Loan DocumentsDocuments (including the Borrower Account).

(a) Create, incur, assume or suffer to exist any IndebtednessIndebtedness (including incurring any swap or other hedging contract obligation that could result in payment obligations of the Company), except Indebtedness created or permitted under the Loan Documents (including expenses payable with respect to amounts owed to service providers or otherwise arising in the ordinary course of the Company’s business, obligations under its Organization Documents or pursuant to customary indemnification, expense reimbursement and similar provisions under the Collateral Asset Documents related to the Collateral Assets; or (ba) open or establish any bank accounts except as contemplated by the Loan Documents.
