Indebtedness; Investments. (a) Except as disclosed in Schedule 3.20 attached hereto, the Company does not have any Indebtedness. (b) Except as disclosed in Schedule 3.20, the Company does not own, or have any right or obligation to acquire, any Investment. (c) Any indebtedness of the Company to the Seller is subordinated to the Noteholder Debt so that the Seller is only repaid after the Noteholders are repaid on the Noteholder Debt.
