Indemnification: Additional Costs. You shall indemnify and hold PRI or its designated Settling Bank, the Interchange System, and their respective officers, directors, agents, successors, and assigns harmless from and against all liability, loss, damage, claim, action, and expenses (including reasonable attorney fees) based upon or arising out of (a) any breach by you of any representation, warranty, or covenant set forth in this Agreement or (b) any failure by you to fully comply with me terms and conditions of this Agreement and the Operating Rules.
