Indemnification Against Referendum. Developer understands and acknowledges that the annexation and zoning of the Property may be subject to public referendum. In the event of the filing of a public referendum, the City may incur costs and expenses related to conducting a municipal election, including but not limited to costs and expenses of publication, printing, and mailing, reasonable attorney fees, and the costs of retaining the services of election judges. Developer shall indemnify the City and shall pay all reasonable costs and expenses incurred by the City in conducting such election, regardless of outcome. For purposes of voter convenience and the reduction of costs, any such referendum election shall be held pursuant to the provisions of the Mail Ballot Election Act, C.R.S. Title 1, Article 7.5.
