Common use of Indemnification and Defense Clause in Contracts

Indemnification and Defense. 19 1. The CONSULTANT agrees to and shall indemnify and hold harmless the County of Riverside, its 20 Agencies, Districts, Departments and Special Districts, their respective directors, officers, Board of 21 Supervisors, elected and appointed officials, employees, agents and representatives (hereinafter 22 individually and collectively referred to as "Indemnitees") from all liability, including, but not limited to loss, 23 suits, claims, demands, actions, or proceedings caused by any alleged or actual negligence, 24 recklessness, willful misconduct, errors or omissions of CONSULTANT, its directors, officers, partners, 25 employees, agents or representatives or any person or organization for whom CONSULTANT is 26 responsible, arising out of or from the performance of services under this contract. To the extent a loss, 27 suit, claim, demand, action, or proceeding is based on actual or alleged acts or omissions of 28 CONSULTANT, which are not professional services, CONSULTANT shall indemnify Indemnitees whether 29 or not CONSULTANT is negligent.
