Common use of Indemnification and Guaranty Agreement Clause in Contracts

Indemnification and Guaranty Agreement. The Indemnification and Guaranty Agreement attached hereto as EXHIBIT "3.3", which: (i) Cordish Affiliate and Inland Affiliate shall execute and deliver to each other at the Closing; (ii) Cordish Affiliate shall cause Xxxxx X. Xxxxxxx to execute and deliver to Inland Affiliate at the Closing; and (iii) Inland Affiliate shall cause Inland to execute and deliver to Cordish Affiliate at the Closing (the "INDEMNITY AGREEMENT").
