INDEMNIFICATION AND PAYMENT OF DAMAGES BY SELLERS. ENVIRONMENTAL MATTERS In addition to the provisions of Section 10.2, but subject to the limitation of liability and remedies set forth in Section 10.5, Sellers, jointly and severally, will indemnify and hold harmless Buyer, the Company, and the other Indemnified Persons for, and will pay to Buyer, the Company, and the other Indemnified Persons the amount of, any Damages (including costs of cleanup, containment, or other remediation) arising, directly or indirectly, from or in connection with: (a) any Environmental, Health, and Safety Liabilities arising out of or relating to: (i) (A) the ownership, operation, or condition at any time on or prior to the Closing Date of the Facilities or any other properties and assets (whether real, personal, or mixed and whether tangible or intangible) in which Sellers or the Company has or had an interest, or (B) any Hazardous Materials or other contaminants that were present on the Facilities or such other properties and assets at any time on or prior to the Closing Date; or (ii) (A) any Hazardous Materials or other contaminants, wherever located, that were, or were allegedly, generated, transported, stored, treated, Released, or otherwise handled by Sellers or the Company or by any other Person for whose conduct they are or may be held responsible at any time on or prior to the Closing Date, or (B) any Hazardous Activities that were, or were allegedly, conducted by Sellers or the Company or by any other Person for whose conduct they are or may be held responsible; or (b) any bodily injury (including illness, disability, and death, and regardless of when any such bodily injury occurred, was incurred, or manifested itself), personal injury, property damage (including trespass, nuisance, wrongful eviction, and deprivation of the use of real property), or other damage of or to any Person, including any employee or former employee of Sellers or the Company or any other Person for whose conduct they are or may be held responsible, in any way arising from or allegedly arising from any Hazardous Activity conducted or allegedly conducted with respect to the Facilities or the operation of the Company prior to the Closing Date, or from Hazardous Material that was (i) present or suspected to be present on or before the Closing Date on or at the Facilities (or present or suspected to be present on any other property, if such Hazardous Material emanated or allegedly emanated from any of the Facilities and was present or suspected to be present on any of the Facilities on or prior to the Closing Date) or (ii) Released or allegedly Released by Sellers or the Company or any other Person for whose conduct they are or may be held responsible, at any time on or prior to the Closing Date.

Buyer will be entitled to control any Cleanup, any related Proceeding, and, except as provided in the following sentence, any other Proceeding with respect to which indemnity may be sought under this Section 10.3. The procedure described in Section 10.9 will apply to any claim solely for monetary damages relating to a matter covered by this Section 10.3.

(c) Sellers' indemnification obligations under this Section 10.3 and under Section 10.2 to the extent such obligations relate to environmental matters shall apply only to the extent such Environmental, Health and Safety Liabilities or Damages result from the acts or omissions of the Acquired Companies prior to the Closing Date. Sellers shall have no indemnification obligations under this Section 10.3 and under Section 10.2 to the extent such obligations relate to environmental matters for Environmental, Health and Safety Liabilities or Damages directly attributable to the following Areas of Concern or potential environmental concerns (collectively, the "AOCs") identified in the letter report, dated April 17, 1996, from Enviro-Sciences, Inc. to Xxxxxx X. Xxxxxxx ((i) AOC1 (the bare soil area) at the Facility located at 0000 Xxxxxxxxx Xxxxxxxxx, Xxxxxxx, Xxxxxx, and (ii) AOC1 (the courtyard area) at the Facility located at 000 X. Xxxxx Xxxxxx, Wichita, Kansas) or any AOCs in the environmental matters reports initiated by Buyers or its financing sources. Any Environmental, Health and Safety Liabilities or Damages shall be calculated net of any reserves in respect of such Environmental, Health and Safety Liabilities and Damages required to be reserved against as a liability on the Closing Balance Sheet. (d) Sellers shall have no indemnification obligations for Environmental, Health and Safety Liabilities pursuant to this Section 10.3 or Damages related to environmental matters pursuant to Section 10.2 unless such Environmental, Health and Safety Liabilities or Damages are actually expensed or incurred, or are the subject of a claims notice pursuant to Section 10.9 below, by a Buyer Indemnified Person on or before the third anniversary of the Closing Date. (e) The Buyer Indemnified Person's rights with respect to Environmental, Health and Safety Liabilities pursuant to Section 10.3 or Damages related to environmental matters pursuant to Section 10.2 shall be reduced to the extent that actions undertaken by it are not conducted in a Commercially Reasonably Manner and such actions (A) increase the amount of Environmental Health and Safety Liabilities or Damages, or (B) result in Environmental, Health and Safety Liabilities or Damages, which but for such actions would not have been expended or incurred. "Commercially Reasonable Manner" shall be determined from the perspective of a reasonable business person acting (without regard to the availability of indemnification hereunder) to achieve compliance (based on reasonable reliance on the advance of expert third-party consultants or counsel) with Environmental Law or to avoid or mitigate a loss or liability or potential loss or liability with respect to Environmental Law. Sellers' indemnification obligations pursuant to Section 10.3 with respect to any Environmental, Health and Safety Liabilities and pursuant to Section 10.2 with respect to Damages relating to environmental matters shall be reduced to the extent that any act, omission or negligence of any of the Buyer Indemnified Persons (or their agents) on or after the Closing Date adversely affects such obligations. (f) Sellers shall have no indemnification obligations pursuant to Section 10.3 with respect to any Environmental, Health and Safety Liabilities and pursuant to Section 10.2 with respect to Damages relating to environmental matters resulting, in whole or in part, from any disclosure, report, communication (whether oral or written) from any of the Buyer Indemnified Persons (or their agents) to any Governmental Body or other third party ("Notification"), unless such Notification was required by Environmental Law at the time it was made. The Buyer Indemnified Persons (or their agents) shall provide notice to Sellers seven days prior to any Notification; provided, however, that in the event any such Notification is necessary to xxxxx promptly any immediate threat to human health or the environment. Notification to Sellers shall be by telephone or similar means at the earliest possible opportunity. Buyers will be entitled to control any Cleanup, any related Proceeding, and, except as provided in the following sentence, any other Proceeding with respect to which indemnity may be sought under this Section 10.3. The procedure described in Section 10.9 will apply to any claim solely for monetary damages relating to a matter covered by this Section 10.3. Buyers will give Sellers prompt notice of any claim that is not for monetary damages.

With respect to Cleanup for which indemnity may be sought under this Section 10.3, the following procedures shall apply to all claims for the cost of Cleanup related to or arising out of Hazardous Materials present on, at or emanating from any Facilities or Sellers' or the Company's operations on or before the Closing Date: (i) Buyer shall select one or more environmental engineers or consultants, to plan, conduct, coordinate and supervise the Cleanup; provided that, to the extent that Buyer selects environmental engineers or consultants who are not nationally recognized, the Sellers' Representative shall approve the selected engineer or consultant; (ii) Buyer shall arrange for the environmental consultant to prepare in compliance with Environmental Laws a plan and scope of work designed to: (A) meet the requirements of the owner of the property upon which such Hazardous Materials are present or emanating as well as the requirements of all relevant governmental authorities; (b) achieve the Cleanup in compliance with the Environmental Laws in a reasonably cost-effective and timely manner, and (C) minimize the disruption of operations at the Facility ("CLEANUP PLAN"); (iii) Buyer shall give Sellers' Representative a reasonable opportunity to review and comment upon the Cleanup Plan and Sellers' Representative shall provide any comments in a timely manner. Buyer shall reasonably address any timely received comments of Sellers' Representative; (iv) Each party shall timely provide to one another any material information or documents related to the Cleanup or any other information related to the Cleanup requested by such other party in writing; and (v) Sellers' Representative shall have the right to reasonably monitor, at Sellers' expense and at Sellers' risk, any Cleanup.

In addition to the provisions of Section 10.26.02, but subject to the limitation of liability and remedies set forth in Section 10.5, Sellers, jointly and severally, Seller will indemnify ------- and hold harmless Buyer, the CompanyCompanies, and the other Indemnified Persons for, and will pay to Buyer, the CompanyCompanies, and the other Indemnified Persons the amount of, any Damages (including including, without limitation, costs of cleanup, containment, or other remediation, compliance, and response) arising, directly or indirectly, from or in connection with: (a) any Environmental, Health, and Safety Liabilities arising out of or relating to: (i) (A) the ownership, operation, or condition at any time on or prior to the Closing Date of the Facilities or any other properties and assets (whether real, personal, or mixed and whether tangible or intangible) in which Sellers Seller or the Company Companies has or ever had an interest, or (B) any Hazardous Materials or other contaminants that were present on the Facilities or such other properties and assets at any time on or prior to the Closing Date; or (ii) (A) any Hazardous Materials or other contaminants, wherever located, that were, or were allegedly, generated, transported, stored, treated, disposed of, Released, or otherwise handled by Sellers Seller or its predecessor, the Company Companies or by any other Person for whose conduct they that Seller or the Companies are or may be held responsible at any time on or prior to the Closing Date, or (B) any Hazardous Activities that were, or were allegedly, conducted by Sellers or Seller, the Company Companies or by any other Person for whose conduct they are or may be held responsible; or (b) any bodily injury (including illness, disability, and death, and regardless of when any such bodily injury occurred, was incurred, or manifested itself), personal injury, property damage (including trespass, nuisance, wrongful eviction, and deprivation of the use of real property), or other damage of or to any Person, including any employee or former employee of Sellers or Seller, the Company Companies or any other Person for whose conduct they are or may be held responsible, in any way arising from or allegedly arising from any Hazardous Activity conducted or allegedly conducted with respect to the Facilities or the operation of the Company Companies prior to the Closing Date, or from Hazardous Material that was (i) present or suspected to be present on or before the Closing Date on or at the Facilities (or present or suspected to be present on any other property, if such Hazardous Material emanated or allegedly emanated from any of the Facilities and was present or suspected to be present on any of the Facilities on or prior to the Closing Date) or (ii) Released or allegedly Released by Sellers or Seller, the Company Companies or any other Person for whose conduct they are or may be held responsible, at any time on or prior to the Closing Date..
