Common use of Indemnification by and Reimbursement of the Servicer Clause in Contracts

Indemnification by and Reimbursement of the Servicer. The COLT Indenture Trustee acknowledges and agrees to reimburse (i) the Servicer and its directors, officers, employees and agents in accordance with the COLT Servicing Agreement and (ii) the Seller and its directors, officers, employees and agents in accordance with the COLT Servicing Agreement. The COLT Indenture Trustee further acknowledges and accepts the conditions and limitations with respect to the Servicer's obligation to indemnify, defend and hold the COLT Indenture Trustee harmless as set forth in the COLT Servicing Agreement for any Series.
