Common use of Indemnification by Bayview Clause in Contracts

Indemnification by Bayview. Bayview indemnifies, agrees to defend, and holds harmless the Servicer and the Trustee from any liability, claim, loss, demand, action, damage, assessment, deficiencies, taxes, costs and expenses, including reasonable attorneys’ fees, directly or indirectly resulting from or arising out of Bayview’s failure to observe or perform any or all of Bayview’s covenants, agreements, warranties or representations contained in this Agreement.
