Indemnification by BBDC. BBDC will indemnify, defend, and hold harmless IR and its officers and directors from and against any and all Claims to the extent arising out of claims against IR for: (1) the dishonest, fraudulent, negligent, willful, or criminal acts of BBDC or BBDC's employees, agents, or representatives acting alone or in collusion with others; or (2) any breach by BBDC of any of its representations, warranties or covenants in this Agreement.
