Common use of Indemnification by BENTLEY Clause in Contracts

Indemnification by BENTLEY. BENTLEY will indemnify and hold AUXILIUM, its directors, officers, employees and agents harmless against any and all liability, damage, loss, cost or expense (including reasonable attorney’s fees) resulting from any third party claims made or suits brought against AUXILIUM which arise from an act or failure to act by BENTLEY or BENTLEY’s breach of its representations, warranties or agreements contained herein.

Indemnification by BENTLEY. BENTLEY will indemnify and hold AUXILIUM, its directors, officers, employees and agents harmless against any and all liability, damage, loss, cost or expense (including reasonable attorney’s fees) resulting from any third third-party claims made or suits brought against AUXILIUM which arise from an act or failure to act by BENTLEY or BENTLEY’s breach of its representations, warranties or agreements contained herein.
