Common use of Indemnification by Buyers Clause in Contracts

Indemnification by Buyers. Subject to the other terms and conditions of this Article VI, Buyers shall jointly and severally indemnify Seller against, and shall hold Seller harmless from and against, any and all Losses incurred or sustained by, or imposed upon, Seller based upon, arising out of or with respect to: (a) any inaccuracy in or breach of any of the representations or warranties of either Buyer contained in this Agreement; (b) any breach or non-fulfillment of any covenant, agreement or obligation to be performed by Buyers pursuant to this Agreement; or (c) any Assumed Liability.

Indemnification by Buyers. Subject to the other terms and conditions of this Article VI, Buyers shall Buyers, jointly and severally severally, shall indemnify Seller Sellers against, and shall hold Seller Sellers harmless from and against, any and all Losses incurred or sustained by, or imposed upon, Seller Sellers based upon, arising out of or of, with respect toto or by reason of: (a) any inaccuracy in or breach of any Buyer Fundamental Representation; (b) any inaccuracy in or breach of any of the other representations or warranties of either Buyer Buyers contained in this Agreement; (bc) any breach or non-fulfillment of any covenant, agreement or obligation to be performed by Buyers pursuant to this Agreement; or (cd) any Assumed Liabilitythe ownership and operation of the Companies after the Effective Time.

Subject to the other terms and conditions of this Article ARTICLE VI, Buyers from and after the Closing, Xxxxxx shall jointly and severally indemnify Seller against, and shall hold Seller harmless from and against, any and all Losses incurred or sustained by, or imposed upon, Seller based upon, arising out of or with respect to: (a) any inaccuracy in or breach of any of the representations or warranties of either Buyer Buyers contained in this Agreement;; or (b) any breach or non-fulfillment of any covenant, agreement or obligation to be performed by Buyers pursuant to this Agreement; or (c) any Assumed Liability.
