Indemnification by Certain Participants Operated by Governmental Agencies. Certain Participants that are operated by the State of New York, by a county thereof, or by a governmental agency thereof (collectively, “Government Participants”), may be subject to laws that limit that Participant’s ability to agree to or perform certain of the obligations of a Participant concerning indemnification described in this Section 15. HEALTHeLINK may enter into a Participation Agreement with a Government Participant that provides for terms and/or conditions concerning indemnification by that Government Participant that are different from those set forth in this Section 15, and which shall apply to that Government Participant notwithstanding anything to the contrary in this Section 15; provided, that HEALTHeLINK shall do so only if and to the extent that such Government Participant demonstrates to HEALTHeLINK that applicable laws so limit that Government Participant’s ability to agree to or perform such indemnification obligations.
