Indemnification by Citadel. Subject to the limitations and procedures set forth in this Section 12, Citadel shall indemnify and hold harmless the Stockholder from and against any and all Damages sustained or incurred by him, to the extent that such Damages are sustained or incurred by reason of (a) the breach of any of the obligations or covenants of Citadel in this Agreement or (b) the breach of any of the representations or warranties made by Citadel in this Agreement.
