Common use of Indemnification by Cognizant Clause in Contracts

Indemnification by Cognizant. Except as otherwise specifically set forth in any provision of this Agreement or of any Ancillary Agreement, Cognizant shall indemnify, defend and hold harmless the D&B Indemnitees and the ACNielsen Indemnitees from and against any and all Indemnifiable Losses of the D&B Indemnitees and the ACNielsen Indemnitees, respectively, arising out of, by reason of or otherwise in connection with the Cognizant Liabilities or alleged Cognizant Liabilities, including any breach by Cognizant of any provision of this Agreement or any Ancillary Agreement.
