Common use of Indemnification by Consultant Clause in Contracts

Indemnification by Consultant. Consultant shall indemnify, defend and hold the Company and the property of the Company, free and harmless from any and all claims, losses, damages, injuries, and liabilities, including the Company's reasonable attorney fees and costs (the Company may choose its own counsel when defended hereunder), arising from or in any way connected with the performance of services under this Agreement or any other act or omission by Consultant, its agents, subcontractors, or employees.

Indemnification by Consultant. The Consultant shall agrees to indemnify, defend, and shall hold harmless Company, its directors, employees and agents, and defend and hold any action brought against same with respect to any claim, demand, cause of action, debt or liability, including reasonable attorneys' fees, to the Company and the property extent that such an action arises out of the Company, free and harmless from any and all claims, losses, damages, injuries, and liabilities, including the Company's reasonable attorney fees and costs (the Company may choose its own counsel when defended hereunder), arising from gross negligence or in any way connected with the performance willful misconduct of services under this Agreement or any other act or omission by Consultant, its agents, subcontractors, or employees.

Indemnification by Consultant. Consultant shall indemnifydefend, defend indemnify and hold harmless the Company and the property of the Companyits officers, free directors, employees, agents, parent, subsidiaries, and harmless other affiliates, from and against any and all claims, losses, damages, injuriescosts, liabilities, and liabilitiesexpenses (including attorneys’ fees) incurred by reason of (i) injury to or death of any person or any damage to or loss of property which is due to the grossly negligent or willful acts of Consultant; or (ii) any material breach by Consultant of any representation, including the Company's reasonable attorney fees and costs (the Company may choose its own counsel when defended hereunder)warranty, arising from covenant or in any way connected with the performance of services agreement under this Agreement or any other act or omission by Consultant, its agents, subcontractors, or employeesAgreement.

Indemnification by Consultant. The Consultant shall indemnify, defend will indemnify and hold the Company Company, its employees, agents and the property of the affiliates (collectively referred to in this article 16 as "Company"), free and harmless harmless, to the maximum extent allowed by law from and against any and all claimsloss, lossesclaims for damage, damages, injuries, liability and liabilities, including the Company's reasonable attorney fees and costs (the Company may choose its own counsel when defended hereunder), expenses arising from wrongful acts or in any way connected with the performance of services under this Agreement or any other act or omission omissions by Consultant, its agents, subcontractors, or employees.

Indemnification by Consultant. Consultant shall indemnifyagrees to and does hereby indemnify Company’s directors, defend officers, shareholders, employees, and hold the Company and the property of the Company, free and harmless from any and representatives against all claims, damages, losses, damages, injuries, and liabilitiesexpenses, including the Company's reasonable attorney actual attorneys’ fees and costs (the Company may choose its own counsel when defended hereunder)expenses, arising from or in any way connected with out of (i) the performance breach of services under this Agreement Consultant’s representations and warranties contained herein or any other act of Consultant’s obligations, covenants, agreements or omission warranties hereunder; or (ii) the willful misconduct or negligence of Consultant or any person employed or engaged by Consultant, its agents, subcontractors, or employees.

Indemnification by Consultant. Consultant shall agrees to defend, indemnify, defend and hold the Company harmless Owner, its agents, and the property of the Company, free its employees from and harmless from any and against legal liability for all claims, losses, damages, injuriesand expenses to the extent such claims, and liabilitieslosses, including the Company's reasonable attorney fees and costs (the Company may choose its own counsel when defended hereunder)damages, arising from or in any way connected with the performance of services under this Agreement or any other act or omission expenses are caused by Consultant's negligent acts, its agents, subcontractorserrors, or employeesomissions.

Indemnification by Consultant. Consultant shall indemnify, defend defend, and hold the Company harmless Customer and the property of the Companyits affiliates, free officers, directors, employees, agents, successors, and harmless assigns, from any and against all claims, lossesdemands, liabilities, damages, injuriesand costs including, and liabilitieswithout limitation, including the Company's its reasonable attorney attorneys’ fees and other costs (the Company may choose its own counsel when defended hereunder)of defense, arising from or in relating to (a) Consultant’s breach of any way connected with terms of this Agreement; or (b) any claims of infringement of the performance intellectual property rights of services under this Agreement or any other act or omission by Consultant, its agents, subcontractors, or employeesthird party.

Indemnification by Consultant. Consultant shall agrees to indemnify, defend and hold the Company and the property of the harmless Company, free it’s officers, directors, shareholders, employees and harmless agents (collectively “Indemnitees”) from and against any and all claims, losses, damages, injuries, and liabilities, including the Company's reasonable attorney fees liabilities and costs (including reasonable attorneys’ fees) for bodily injury, death or third party property damage to the Company may choose its own counsel when defended hereunder), arising from extent caused by the negligent acts or omissions of Consultant or it’s subcontractor’s in any way connected connection with the performance Work. This indemnity shall survive the termination of services under this Agreement or any other act or omission by Consultant, its agents, subcontractors, or employeesAgreement.

Indemnification by Consultant. Consultant shall indemnifywill indemnify and defend Company, defend its directors, officers, employees, Consultants, equity holders, and agents and hold the Company and the property of the Company, free and them harmless from and against any and all claimsliability, lossesdamage, damagespenalty, injuriesfee, and liabilitiescost, expense or obligation (including the Company's reasonable attorney attorneys’ fees and costs (the Company may choose its own counsel when defended hereunder), disbursements) arising from any breach of this Agreement by Consultant or from any other action or omission by Consultant in any way connected with the performance of services under this Agreement or any other act its duties hereunder, if such action or omission by constitutes gross negligence, recklessness or misconduct on the part of Consultant, its agents, subcontractors, or employees.

Indemnification by Consultant. Consultant shall indemnifyhereby agrees to defend, defend hold harmless and hold indemnify the Company and the property of the Company, free and harmless from any and all claims, losses, damages, injuries, and liabilities, including the Company's reasonable attorney fees and costs its affiliates (the Company may choose its own counsel when defended hereunder)“Indemnitees”) from and against any liability or expense (including reasonable legal expenses and attorneys’ fees) (collectively, “Losses”) arising from or in any way connected with out of the performance of services its duties or other activities of Consultant under this Agreement Agreement, including without limitation providing unauthorized representations, misrepresentations or any other act or omission by Consultant, its agents, subcontractors, or employeesdisclosures to Prospective Investors.

Indemnification by Consultant. Consultant shall defend, indemnify, defend and hold the Company harmless from and against all claims asserted by a third party (or parties) and related damages, losses and expenses, including reasonable attorneys' fees, arising out of or resulting from the property services performed or neglected to be performed by Consultant; provided that any such claim, damage, loss, or expense is caused by the gross negligence or willful misconduct of Consultant and is not caused by the gross negligence or willful misconduct of the Company, free and harmless from any and all claims, losses, damages, injuries, and liabilities, including the Company's reasonable attorney fees and costs (the Company may choose its own counsel when defended hereunder), arising from or in any way connected with the performance of services under this Agreement or any other act or omission by Consultant, its agents, subcontractors, or employees.
