Common use of Indemnification by Contractor Clause in Contracts

Indemnification by Contractor. Contractor hereby agrees to indemnify and hold the Company, including its Affiliates and its and their respective officers, directors, partners, members, employees and agents, harmless from and against any and all Claims brought in connection with or arising out of or related to Contractor’s or its Affiliates’ fraud, willful misconduct, negligence or material breach of this Agreement.

Indemnification by Contractor. Contractor hereby agrees to indemnify indemnify, defend, and hold the Company, including its Affiliates and its and their respective officers, directors, partners, members, employees and agents, harmless Owner Indemnified Parties from and against any and all Claims brought in connection with or arising out of or related relating to any infringement or the improper use of any Proprietary Interest which may occur in connection with Contractor’s or its Affiliates’ fraud, willful misconduct, negligence any Subcontractor’s or material breach vendor’s performance of the Work pursuant to this Agreement, except with respect to infringement claims related solely to the Owner-Furnished Equipment.
