Common use of Indemnification by Corixa Clause in Contracts

Indemnification by Corixa. Corixa shall defend, indemnify and hold Introgen and its directors, officers and employees harmless from and against any and all liabilities, damages, losses, costs or expenses (including legal fees) resulting from claims, actions, suits or proceedings brought by third parties arising out of or resulting from Corixa’s (a) material breach of its obligations hereunder, (b) breach of its representations and warranties set forth in Section 10.2 above or (c) gross negligence or willful misconduct.
