Indemnification by Furst. Subject to the ▇▇▇▇▇ provisions in this Agreement, Furst will indemnify, d▇▇▇▇▇, and hold harmless Txon and its directors and officers from and against any and all claims, losses, damages, expenses, and liabilities arising out of or incurred with respect to any breach of any representation or warranty of Furst contained in this Agreement.
