Indemnification by Harbor Sample Clauses

Indemnification by Harbor. Harbor shall pay (or cause to be paid), and shall indemnify and hold the Spinco Indemnitees harmless from and against, without duplication, all Harbor Taxes; provided that, with respect to Harbor Taxes described in clauses (vi) and (vii) of the definition of Harbor Taxes, (i) the amount that Harbor is or may be required to pay (or cause to be paid) pursuant to this Section 3.01 shall in no event exceed Ten Million Dollars ($10,000,000) in the aggregate; and (ii) Harbor shall have no obligation to pay (or cause to be paid) any amounts with respect to any claims first made by a Spinco Indemnitee on or after the first anniversary of the Distribution Date.
