Common use of Indemnification by IMS Clause in Contracts

Indemnification by IMS. Except as otherwise specifically set forth in any provision of this Agreement or of any Ancillary Agreement, IMS shall indemnify, defend and hold harmless the ST Indemnitees from and against any and all Indemnifiable Losses of the ST Indemnitees arising out of, by reason of or otherwise in connection with the IMS Liabilities or alleged IMS Liabilities, including any breach by IMS of any provision of this Agreement or any Ancillary Agreement.
