Common use of Indemnification by Investor Clause in Contracts

Indemnification by Investor. The Investor agrees to indemnify and hold the Company and its agents, representatives and employees harmless from and against all liability, damage, loss, cost and expense (including reasonable attorneys’ fees) which they may incur by reason of the failure of the Investor to fulfill any of the terms or conditions of this Agreement, or by reason of any inaccuracy or omission in the information furnished by the Investor herein or any breach of the representations and warranties made by the Investor herein or in any document provided by the Investor to the Company.

Indemnification by Investor. The Investor agrees to [investor shall indemnify and hold harmless and reimburse the Company and its agents, representatives and employees harmless for any Damages arising from and against all liability, damage, loss, cost and expense (including reasonable attorneys’ feesa) which they may incur by reason of the failure of the Investor to fulfill any of the terms or conditions of this Agreement, or by reason of any inaccuracy or omission in the information furnished by the Investor herein or any breach of the representations and warranties of Investor in this Agreement, (b) any failure by Investor to comply with any agreement or obligation in this Agreement, or (c) any claim by any Person for brokerage fees, commissions or similar payments based upon any agreement or understanding made by the Investor herein or in any document provided by the Investor to the Companysuch Investor.

Indemnification by Investor. The Investor hereby agrees to indemnify and hold harmless the Company Company, its officers and its agentsdirectors, representatives against any and employees harmless from and against all loss, liability, damageclaim, loss, cost damage and expense (including reasonable attorneys’ fees) which they may incur whatsoever arising after the Closing Date out of or based upon any false representation or warranty or breach by reason of the failure of the Investor to fulfill any of the terms or conditions of this AgreementInvestor, or by reason of any inaccuracy or omission in the information furnished by the Investor herein or any breach of the representations and warranties made by the Investor herein or in any document provided failure by the Investor to the Companysatisfy any of its covenants or agreements contained herein.

Indemnification by Investor. The Each Investor hereby agrees to indemnify and hold harmless the Company Company, and its agentsofficers, representatives directors, agents and employees harmless from and against any and all liabilitylosses, damagedamages, lossexpenses, cost and expense (including liabilities or reasonable attorneys’ fees) fees (including attorneys’ fees and expenses incurred in a securities action in which they may incur by reason of the failure no judgment in favor of the Investor is rendered) due to fulfill or arising out of a breach of any representation or warranty of the terms or conditions of Investor contained in this Agreement, or by reason of any inaccuracy or omission in the information furnished by the Investor herein or any breach of the representations and warranties made by the Investor herein or in any document Agreement provided by the Investor to in connection with the CompanyInvestor’s investment in the Purchased Shares.

Indemnification by Investor. The Investor agrees to shall indemnify and defend and hold harmless the Company and its agents, representatives and employees harmless from and against all liability, damage, loss, cost and expense (including reasonable attorneys’ fees) which they may incur by reason any Losses with respect to any misrepresentation or breach of the failure of the Investor to fulfill any of the terms warranty or conditions of this Agreement, or by reason of any inaccuracy or omission in the information furnished covenant by the Investor herein or any breach of the representations and warranties made by the Investor herein or in any document provided by the Investor to the Companyunder this Agreement.
