Common use of Indemnification by LinkedIn Clause in Contracts

Indemnification by LinkedIn. To the maximum extent permitted by applicable law, LinkedIn agrees to defend, hold harmless and indemnify Customer, its affiliates, and their respective directors, officers and employees (each, a “Customer Indemnified Party”) from and against all claims, damages, losses, judgments, liabilities, penalties, interest, costs and expenses, including but not limited to reasonable and documented legal fees and costs and settlement costs (“Damages”) arising out of a claim by a third party against any and all Customer Indemnified Parties to the extent resulting from, alleged to have resulted from, or in connection with (a) the Premium Services’ infringing or misappropriating a third party’s copyright, trademark, trade secret or US patent; or (b) breach of any obligation herein by LinkedIn.
