Common use of Indemnification by NBC Clause in Contracts

Indemnification by NBC. From and after the Closing Date, NBC shall ---------------------- indemnify and hold harmless Xenon 2 and its Affiliates and each of the foregoing's respective directors, officers, employees and agents, heirs, executors, successors and assigns of any of the foregoing from and against any and all Losses and Expenses suffered or incurred by any such indemnified Person arising from, relating to or otherwise in respect of any breach of the representations and warranties set forth in Section 4.1(c)(iii) and Section ------------------- ------- 4.1(v) of this Agreement. ------
