Common use of Indemnification by Owner Clause in Contracts

Indemnification by Owner. Owner shall defend, indemnify, and hold harmless the Manager and its Affiliates, and their respective trustees, beneficiaries, directors, officers, employees and agents, and the successors and assigns of each of the foregoing, for, from and against any and all third-party Claims arising from Owner’s (i) gross negligence or willful misconduct, or (ii) breach of this Agreement.

Indemnification by Owner. Owner shall defend, indemnify, indemnify and hold harmless the Manager and its Affiliates, Affiliates (other than Owner) and their respective trustees, beneficiaries, the directors, officers, employees and agentsemployees, and the successors and assigns agents of each of such Person (collectively, the foregoing, for, “Owner Indemnified Persons”) harmless from and against any and all third-party Claims claims, actions, damages, losses, liabilities, costs or expenses (including reasonable attorneys’ fees) (each a “Claim”) incurred by or asserted against any such Owner Indemnified Person to the extent resulting or arising from Owner’s (i) gross negligence or willful misconduct, or (ii) breach any of this Agreement.the following:
