Common use of Indemnification by Partnership Clause in Contracts

Indemnification by Partnership. (a) Partnership hereby assumes all responsibility for and agrees to indemnify Parent against any and all damages, losses, claims, suits or other expenses whatsoever arising out of the Partnership Group’s promotion, advertising, use or sale of any services under the Name or the Xxxx, including Parent’s reasonable attorneys’ fees incurred in the defense of any action against Parent.
