Indemnification by Practice. Practice shall indemnify and hold harmless Manager, its shareholders, directors, officers, agents, employees and other personnel from and against any all Losses resulting in any manner, directly or indirectly, from the gross negligence, professional malpractice or intentional acts or omissions of Practice, its Physician Shareholders, Practice Employees or independent contractors.
