Common use of Indemnification by Service Provider Clause in Contracts

Indemnification by Service Provider. Service Provider will defend, at its expense, Customer and its Authorized Users from and against any claims against Customer arising from an allegation by a third party that the SaaS Services as provided and used in accordance with the Documentation infringe or misappropriate a valid copyright, patent, or trade secret of a third party and indemnify Customer and its Authorized Users from any direct damages finally awarded against Customer as a result of such Claim. In the event of a claim, Service Provider may, at its option and expense, either: (i) modify, fix, or replace the allegedly infringing SaaS Services so that they are no longer infringing but remain materially similar to the SaaS Services, (ii) secure for Customer the right to continue using the allegedly infringing SaaS Services; or
