Indemnification by SFX. SFX shall indemnify, defend, and hold harmless Viggle and its directors, officers, employees and agents from and against all Damages imposed upon or incurred by Viggle, to the extent arising out of any of the following: (a) SFX’s failure to comply with applicable laws, regulations or orders during the term of this Agreement; or (b) breach of any obligation of SFX contained in this Agreement.
