Indemnification by the Depositor. The Depositor agrees to indemnify the Seller and its Board of Directors, officers and employees (the "Seller Indemnified Parties") with respect to, and hold the Seller Indemnified Parties harmless from, any loss, liability or expense (including, but not limited to, reasonable legal fees) which the Seller Indemnified Parties may directly or indirectly incur or suffer by reason of, or which results, arises out of or is based upon the failure of the Depositor to comply with any covenants or other commitments made by the Depositor in this Agreement or any other agreement or document delivered by the Depositor in connection herewith.
