Indemnification By The Inventors Sample Clauses

Indemnification By The Inventors. The Inventors will defend, indemnify and hold harmless AlgoRx and AlgoRx's sublicensees and their respective officers, Directors, employees, agents and representatives and any person claiming by or through any of them from and against any and all Losses arising out of or resulting from (a) any breach of any of the material representations or warranties made by Inventors in this Agreement, and (b) any failure by Inventors to perform any of their material obligations contained in this Agreement. The Inventors will be severally, not jointly, liable with respect to their indemnification obligations under this Section 7.1.
