Common use of Indemnification by the Investor Clause in Contracts

Indemnification by the Investor. The Investor agrees to indemnify and hold harmless any of the Investees, and, if applicable, their respective Affiliates, officers, directors, employees, agents, successors and assigns (each, an “Investee Indemnitee”), against any and all Indemnifiable Losses actually suffered or incurred by them, arising out of or resulting from: (i) any breach of the Investor Warranties or any other certificate or document delivered by the Investor pursuant to this Agreement, other than those, if any, that have been waived in writing by the Investees; or (ii) any breach or violation of or failure to fully perform any covenant, agreement, undertaking or obligation of any of the Investor set forth in this Agreement, other than those, if any, that have been waived in writing by the Investees.
