Common use of INDEMNIFICATION BY THE PARTIES OF METRO Clause in Contracts

INDEMNIFICATION BY THE PARTIES OF METRO. Subject to the limits of the OTCA and the Oregon Constitution, and to the extent any Programs receive SHS Funds under this Agreement, the Parties shall indemnify and hold harmless Metro and its officers, agents, and employees, or any of them from any and all liability, loss, costs, expenses, and damages of any nature whatsoever, by any reason of or arising out of any act or omission of the Parties, their officers, agents, and employees, or any of them relating to or arising from their performances under the Agreement for the use of those SHS Funds. In the event that any suit based upon a Third-Party Claim is brought against Metro, the Parties shall defend the same at their sole cost and expense; provided that Metro reserves the right to participate in said suit if any principle of governmental or public law is involved; and if final judgment be rendered against Metro, and its officers, agents, and employees, or any of them, or jointly against Metro and the Parties and their respective officers, agents, and employees, or any of them, the Parties shall satisfy the same.
