Common use of Indemnification by the Service Provider Clause in Contracts

Indemnification by the Service Provider. Subject to the provisions of Sections 10.03 and 10.04 hereof, the Service Provider shall indemnify and hold harmless the Company and its directors, officers, employees, Affiliates and assigns from and against all Losses asserted against, imposed upon or incurred by them, directly or indirectly, by reason of or arising out of or in connection with any misrepresentation, breach of or failure to perform any representation, warranty, covenant, undertaking or agreement of Service Provider in this Agreement.

Indemnification by the Service Provider. Subject to the provisions of Sections 10.03 11(c) and 10.04 11(d) hereof, the Service Provider shall indemnify and hold harmless the Company in respect of any and its directors, officers, employees, Affiliates and assigns all Damages resulting from and against all Losses asserted against, imposed upon or incurred relating to any breach by them, directly or indirectly, by reason the Service Provider of or arising out of or in connection with any misrepresentation, breach of or failure to perform any representation, warranty, covenant, undertaking covenant or agreement of made by the Service Provider in this Agreement.
