Common use of Indemnification by the Subscriber Clause in Contracts

Indemnification by the Subscriber. The Subscriber agrees to indemnify and hold harmless the Company and its affiliates and its and their respective directors, officers, trustees, members, managers, employees and agents, and their respective successors and assigns, from and against any and all Losses to which such Person may become subject as a result of any breach of representation, warranty, covenant or agreement made by or to be performed on the part of the Company hereunder, and will reimburse any such Person for all such amounts as they are incurred by such Person.

Indemnification by the Subscriber. The Subscriber severally agrees to indemnify and hold harmless the Company Company, its directors and its affiliates officers and its and their respective directors, officers, trustees, members, managers, employees and agents, and their respective successors and assigns, from and the Operating Partnership against any and all Losses to which such Person may become subject loss, liability, claim, damage and expense whatsoever, as a result incurred, arising in whole or in part out of any breach by the Subscriber of any representation, warranty, covenant agreement or agreement made by or to be performed on the part obligation of the Company hereunderSubscriber contained in this Agreement or any certificate, instrument or document contemplated hereby and will reimburse any such Person for all such amounts as they are incurred by such Persondelivered on or prior to the Closing Date.
