Indemnification by Venture. Venture will defend, indemnify and hold Sublicensee and Sublicensee’s officers, directors, employees, agents, managers, attorneys, members, successors and assigns harmless against and in respect of: (i) any and all loss, damage, or liability resulting from any breach of any representation or warranty or the non-fulfillment of any covenant, agreement or obligation on the part of Venture hereunder, and (ii) any and all Claims arising out of or relating to the foregoing.
