Indemnification Counsel Sample Clauses

Indemnification Counsel. The indemnifying Party shall, at its own expense, provide attorneys reasonably acceptable to the indemnitee to defend against any actions brought or filed against any FCDI Indemnitee or Licensee Indemnitee hereunder with respect to the subject of indemnity contained herein, whether or not such actions are rightfully brought. In addition, each indemnitee reserves to itself at all times the right to select and retain counsel of its own to defend its interests in any proceeding (with participation by such counsel, other than counsel retained by ▇▇▇▇ to which this parenthetical does not apply, in the defense and/or settlement of any such action subject to the indemnifying Party’s control thereof).
