Indemnification for Athens NA Brand/Secondary Brand Transactions. Athens NA shall indemnify Trident and hold it harmless from and against all Swiss federal or cantonal Taxes due and payable (i) on any Tax Return required to be filed by ADT Services (and its successors) or XXXX (and its successors) or (ii) as the result of a Final Determination with respect to such Tax Return, in each case solely with respect to the Athens NA Brand/Secondary Brand Transactions.
