Indemnification for Directed Shares. In connection with the offer and sale of the Directed Shares, the Company agrees, promptly upon a request in writing, to indemnify and hold harmless the Underwriters from and against any and all losses, liabilities, claims, damages and expenses incurred by any of them as a result of the failure of the Participants to pay for and accept delivery of Directed Shares which, by the end of the first business day following the date of this Agreement, were subject to a properly confirmed agreement to purchase. The Company agrees to indemnify and hold harmless the Underwriters and their respective affiliates, directors, officers, employees and agents, and each person, if any, who controls any of the Underwriters within the meaning of the Securities Act or the Exchange Act against any loss, claim, damage, liability or expense, as incurred, to which the Underwriters or such controlling person may become subject, which is (i) caused by any untrue statement or alleged untrue statement of a material fact contained in any material prepared by or with the consent of the Company for distribution to Participants in connection with the Directed Share Program or caused by any omission or alleged omission to state therein a material fact required to be stated therein or necessary to make the statements therein not misleading; (ii) caused by the failure of any Participant to pay for and accept delivery of Directed Shares that such Participant agreed to purchase; or (iii) related to, arising out of, or in connection with the Directed Share Program; provided, however, that the foregoing indemnity agreement shall not apply to any loss, claim, damage, liability or expense to the extent arising out of or based upon any untrue statement or alleged untrue statement or omission or alleged omission made in reliance upon and in conformity with information relating to any Underwriter furnished to the Company by the Representatives in writing expressly for use in any material prepared by or with the consent of the Company for distribution to Participants in connection with the Directed Share Program, it being understood and agreed that the only such information consists of the information described in Section 9(b) above. The indemnity agreement set forth in this paragraph shall be in addition to any liabilities that the Company may otherwise have.

The Company agrees to indemnify and hold harmless the Underwriters Designated Underwriter, its officer and their respective affiliates, directors, officers, employees and agentsemployees, and each person, if any, who controls any of the Underwriters Designated Underwriter within the meaning of the Securities Act or the Exchange Act against any such loss, claim, damage, liability or expense, as incurred, to which the Underwriters such Designated Underwriter or such controlling person may become subject, which is (i) caused by any untrue statement or alleged untrue statement of a material fact contained in any material prepared by or with the consent of the Company for distribution to Participants in connection with the Directed Share Program or caused by any omission or alleged omission to state therein a material fact required to be stated therein or necessary to make the statements therein not misleading; (ii) caused by the failure of any Participant to pay for and accept delivery of Directed Shares that such Participant agreed to purchase; or (iii) related to, arising out of, or in connection with the Directed Share Program; providedprovided that, however, in the case of clause (i) the Company will not be liable in any such case to the extent that the foregoing indemnity agreement shall not apply to any such loss, claim, damage, damage or liability or expense to the extent arising arises out of or is based upon any such untrue statement or alleged untrue statement or omission or alleged omission made therein in reliance upon and in conformity with written information relating to any Underwriter furnished to the Company by or on behalf of the Representatives Underwriters specifically for inclusion therein and that in the case of clause (iii) the Company will not be liable to the extent that such loss, claim, damage or liability results from the gross negligence or willful misconduct of the Underwriters; and provided, further, that with respect to any preliminary prospectus, which is the basis of such loss, claim, damage, liability or expense, the foregoing indemnity agreement shall not inure to the benefit of any Underwriter from whom the person asserting any loss, claim, damage, liability or expense purchased Common Shares, or any other person or entity if the Company identified the untrue statement or omission in writing expressly for use in to the Underwriter and copies of the Prospectus were timely delivered to the Underwriter pursuant to Section 2 and a copy of the Prospectus (as then amended or supplemented if the Company shall have furnished any material prepared amendments or supplements thereto) was not sent or given by or with on behalf of such Underwriter to such person, if required by law so to have been delivered, at or prior to the consent written confirmation of the Company for distribution to Participants in connection with the Directed Share Program, it being understood and agreed that the only such information consists sale of the information described in Section 9(bCommon Shares to such person, and if the delivery of such Prospectus (as so amended or supplemented) abovewould have caused such loss, claim, damage, liability or expense not to have been incurred. The indemnity agreement set forth in this paragraph shall be in addition to any liabilities that the Company may otherwise have.

The indemnity agreement set forth in this paragraph shall be in addition to any liabilities that the Company may otherwise have. Notwithstanding anything contained herein to the contrary, if indemnification may be sought pursuant to this Section 8(f), then in addition to such separate counsel as may be provided for the indemnified parties pursuant to this Section 8, the indemnifying party shall be liable for the reasonable fees and expenses of not more than one separate firm (in addition to any local counsel) for the DSP Coordinator, the directors, officers, employees and agents of the DSP Coordinator, and all persons, if any, who control the DSP Coordinator within the meaning of either the Securities Act or the Exchange Act for the defense of any losses, claims, damages or liabilities arising out of the Directed Share Program.

The indemnity agreement set forth in this paragraph shall be in addition to any liabilities that the Company may otherwise have. Notwithstanding anything contained herein to the contrary, if indemnification may be sought pursuant to this Section 6(e), then in addition to such separate counsel as may be provided for the indemnified parties pursuant to this Section 6, the indemnifying party shall be liable for the reasonable fees and expenses of not more than one separate firm (in addition to any local counsel) for BAI, the directors, officers, employees and agents of BAI, and all persons, if any, who control BAI within the meaning of either the Securities Act or the Exchange Act for the defense of any losses, claims, damages or liabilities arising out of the Directed Share Program.
