Indemnification for Expenses as a Witness. Subject to the exceptions set forth in Section 4 below, to the extent that Indemnitee is, by reason of Indemnitee's Corporate Status, a witness in any Proceeding to which Indemnitee is not a party, the Company shall indemnify against all expenses actually and reasonably incurred by Indemnitee in connection therewith.
