Indemnification for Expenses Incurred in Enforcing Rights. The Company shall indemnify Indemnitee against any and all Expenses and, if requested by Indemnitee, shall (within ten business days of such request), advance such Expenses to Indemnitee, that are incurred by Indemnitee in connection with any claim asserted against or covered action brought by Indemnitee for (i) indemnification of Expenses or Expense Advances by the Company under this Agreement or any other agreement or under applicable law or the Company’s Articles of Incorporation as amended, or bylaws now or hereafter in effect relating to indemnification for Indemnifiable Events, and or (ii) recovery under directors’ and officers’ liability insurance policies maintained by the Company, regardless of whether Indemnitee ultimately is determined to be entitled to such indemnification, Expense Advances, or insurance recovery, as the case may be.

The Company shall indemnify Indemnitee against any and all Expenses and, if requested by Indemnitee, shall (within ten business days of such request), advance such Expenses to Indemnitee, out-of-pocket expenses that are incurred by Indemnitee in connection with any claim asserted against or covered action brought by Indemnitee for for (ia) indemnification or advance payment of Expenses (in the case of a Type 1 Indemnifiable Event) or Expense Advances Defense Costs (in the case of a Type 2 Indemnifiable Event) by the Company under this Agreement or any other agreement or under applicable law or the Company’s Articles of Incorporation as amended, or bylaws Association now or hereafter in effect relating to indemnification for Indemnifiable Events, and or and/or (iib) recovery under directors’ and officers’ liability insurance policies maintained by the Company, regardless of whether but only in the event that Indemnitee ultimately is determined to be entitled to such indemnification, Expense Advances, indemnification or insurance recovery, as the case may be. In addition, the Company shall, if so requested by Indemnitee, advance such out-of-pocket expenses to Indemnitee, subject to and in accordance with Section 2(c).
