Indemnification for Expenses of Successful Party. Notwithstanding any other provision of this Agreement to the contrary, to the extent that Indemnitee has been successful on the merits or otherwise in defense of any Proceeding referred to in Sections 3 and/or 4 of this Agreement, or in defense of any claim, issue or matter therein, including dismissal without prejudice, Indemnitee shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee in connection therewith.

Notwithstanding any other provision of this Agreement to the contraryAgreement, to the extent that the Indemnitee has been successful successful, on the merits or otherwise otherwise, in whole or in part, in defense of any Proceeding referred to in Sections 3 and/or 4 of this Agreement, or in defense of any claim, issue or matter therein, including including, without limitation, the dismissal of any action without prejudice, or if it is ultimately determined that the Indemnitee is otherwise entitled to be indemnified against Expenses, the Indemnitee shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee in connection therewith.

Notwithstanding any the other provision provisions of this Agreement to the contraryAgreement, to the extent that Indemnitee has been successful on the merits or otherwise in defense of any Proceeding Claim referred to in Sections Section 3 and/or or Section 4 of this Agreementhereof, or in defense of any claim, issue or matter therein, including dismissal without prejudice, Indemnitee shall be indemnified against all Expenses actually and reasonably incurred by Indemnitee in connection therewith. No Standard of Conduct Determination (as defined in Section 8) shall be required for indemnification under this Section.
