Indemnification for Fines and Penalties. Any fines or other penalties incurred by Project Company for non-compliance with the applicable Laws of Guam or the Government Authorizations shall not be reimbursed by GPA but shall be the sole responsibility of Project Company, except to the extent that such non-compliance is caused by the negligence or intentional acts or omissions of GPA.
