Common use of Indemnification for Serving as Witness Clause in Contracts

Indemnification for Serving as Witness. Subject to the exclusions set forth in Section 4 hereof, the Corporation hereby indemnifies and holds Indemnitee harmless for all Losses and Expenses in connection with the preparation to serve or service as a witness for any Claim in which Indemnitee is not a party, if such actual or proposed service as a witness arose by reason of Indemnitee having served as a Director.
