Indemnification for Tax Liability. In addition to the indemnification obligation provided in section 2(b)(i) Shareholders hereby agree to indemnify and hold harmless Corporation against any increase in Corporation's Tax Liability, and costs relating thereto, with respect to any tax year to the extent such increase results in a related decrease in the Tax Liability of Shareholders for any period prior to the termination of the Corporation's S status.
